In these terms, ‘Nivara’ means Nivara Accounting & Consulting LLC.

Nothing on this website is an offer, invitation or recommendation to buy, sell or subscribe for any security or other financial product. Stakeholder statements on this website illustrate perspectives we commonly encounter and are not testimonials from clients. Regulatory Status and Scope of Services

Nivara Accounting & Consulting LLC is a limited liability company licensed by the Dubai Department of Economy and Tourism. Nivara provides finance leadership, reporting and execution support, financial due diligence, valuation and financial modelling analysis, and financial support to clients’ deal teams, for management and transaction decision-making. Nivara’s services are provided within the scope of its trade licence and subject to the laws and licensing requirements applicable in each jurisdiction in which it works.

Nivara does not:

  • issue statutory audit reports or perform attest engagements; in the UAE, statutory audits may only be performed by auditors registered with the Ministry of Economy;
  • provide investment advice or personal recommendations on securities or other regulated financial products, manage funds or portfolios, or promote, arrange or offer financial products; these activities require authorisation from the Capital Market Authority, the Central Bank of the UAE, the DFSA or the FSRA, as applicable;
  • act as a broker, dealer or financial intermediary, introduce investors or counterparties, or negotiate on any party’s behalf;
  • provide legal advice; the legal aspects of any transaction, including definitive agreements, should be reviewed by the client’s own legal counsel;
  • provide statutory or legal valuations, formal fairness or solvency opinions, or act as an expert, liquidator or trustee in litigation or insolvency proceedings; or
  • represent clients before tax authorities.

Engagement Disclaimer

Engagement for services is subject to a formal engagement letter and agreed scope of work. Nivara’s work is prepared for the client’s stated purpose and use, for internal management and transaction decision-making, unless otherwise expressly agreed in writing. Reliance by any third party is permitted only as set out in the engagement letter or a separate written agreement. The limits on Nivara’s services are described under Regulatory Status and Scope of Services.

Confidentiality and Legal Obligations

We treat enquiries and client information as confidential. Specific confidentiality terms are agreed in the engagement letter or in a separate confidentiality agreement. All confidentiality is subject to our obligations under applicable law, including UAE anti-money-laundering and counter-terrorist financing legislation, which may require us to carry out client onboarding checks, including verifying identity and ownership, and, in certain circumstances, to report or disclose information to competent authorities without notifying the client. We may also be required to disclose information to comply with a lawful request from a court or regulator.

Reliance and Liability

While reasonable efforts are made to ensure the accuracy of the content on this website, Nivara makes no representation or warranty as to its completeness, accuracy, or suitability for any particular purpose. To the extent permitted by applicable law, Nivara disclaims liability for loss arising from reliance on the information on this website. Nothing in this section excludes or limits any liability that cannot be excluded or limited under applicable law. Liability in respect of services is governed by the engagement letter.

Privacy and Information Use

Nivara Accounting & Consulting LLC collects and uses the personal data you submit through this website, including through the enquiry form, to respond to your enquiry and, if we proceed, to carry out client onboarding checks. We process personal data in accordance with applicable data-protection laws. We do not sell personal data or use it for marketing.

Governing Law

These terms, and any dispute arising from the use of this website, are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates applicable in it, and the courts of Dubai have jurisdiction. Governing law and dispute resolution for services are set out in the engagement letter.

We may update these terms from time to time. The date at the top of this page shows when they were last updated.
